Acting for Raven Russia Limited, a public company listed on the London Stock Exchange, on the acquisition of a portfolio of three high quality income producing properties in St Petersburg (a warehouse and two office buildings) from EPI Russia I Ky, a fund managed by Northern Horizon Capital. more deals

Advised Rosimuschestvo (the Federal Agency for State Property Management) on the shareholders' agreements relating to shares in Vnukovo International Airport JSC and Sheremetyevo International Airport JSC.

Supporting Verno, an international investment company, managing the PE fund Kazakhstan Infrastructure Fund C.V., in a project to develop and let around 25,000 sq m of warehouse premises in the first phase of a bigger plan to construct up to 100,000 sq m of Class A warehouses in Kazakhstan.

Advised within the scope of a transaction for an Operating Division of OMS to acquire Forum Facility Management, commercial operator of the Moscow Aurora Business Park, with a total area of over 150 thousand sq.m.

Advised Hals-Development on its acquisition of the controlling stake in CiTer Invest B.V. for the development of Plot 11 of the Moscow City International Business Center (construction of a multi-level tower and a transportation hub with the total area of 230 000 sq.m.).

Advised Citer Invest B.V. (Hals-Development’ group) in relation to its third secured borrowing ($300 m) from VTB Bank to finance the investment project for the development of Plot 11 of the Moscow City International Business Center.

Advised Hals-Development on structuring project finance with VTB Bank for development of Moscow City International Business Center, Plot 11 ( 230.000 sq.m. hotel complex and a transportation hub), with GBLP helping coordinate legal teams in six different jurisdictions.

Acted for Akfen Holding and its group on the acquisition of Russian company OOO Severny Avtovokzal.

Acting for KASA-AKFEN, a big international development company on a corporate project in Moscow and separately in relation to financing matters.

Advising Globus, a German hypermarket chain, on its expansion on the Russian market, specifically on acquiring a land plot and properties in north-east Moscow for a new hypermarket.

Advised North Caucasus Development Corporation (VEB's subsidiary) on participating in the first stage of construction of the Arkhyz All-Season Mountain Resort.

Advised Kvaerner on a number of corporate transactions in Russia, including JV and corporate governance issues.

Advised KOPY Goldfields AB (publ), a Swedish gold exploration company, on sale of its subsidiary Taiga LLC, which holds several exploration and production licences in the Irkutsk Region. more deals

Advised Rosimuschestvo (the Federal Agency for State Property Management) within the scope of a transaction for signing a shareholders’ agreement with the Republic of Bashkortostan on managing and disposing of shares in PJSC Joint Stock Oil Company Bashneft. 

Acted for Zoltav Resources Inc. on the Russian aspects of its admission to trading on the AIM market of the London Stock Exchange (including a USD 66 m fund raising) and on the associated acquisition and transfer to Zoltav of an oil field in Saratov, Russia.

Advised Siberian Generating Company (SGC), SUEK Group (Siberian Coal Energy Company, Russia’s biggest coal producer), on acquisition of a 78% stake in Sibeco, one of the biggest heat and electricity generation companies in Siberia.

Advised Kopy Goldfields AB (OMX: KOPY) on its joint venture with GV Gold to explore and exploit a gold hard rock deposit in Irkutsk Region "Krasny Project".

Advising and representing OAO NOVATEK, Russia’s largest independent natural gas producer, in a dispute with NEFTE PETROLEUM LIMITED in relation to their joint venture YARGEO, the Yarudeyskoye oil field operator in the Yamalo-Nenets Autonomous Area. The project involved our legal assistance to the client at the pre-trial dispute resolution stage and representation of NOVATEK before the first instance and appeal courts, which considered the claims for NEFTE PETROLEUM LIMITED to be excluded from YARGEO LLC. Our client's claims were satisfied in full, following which, during the appeal proceedings, the parties reached an amicable agreement.

Advised and represented OMS Group in negotiations with Technip, a French management company, on a subcontract for rendering complex supplementary services during Yamal-LNG plant construction at South Tambey gas field.

Advised Rosimuschestvo within the scope of a transaction for signing a shareholders’ agreement with the Republic of Bashkortostan on managing and disposing of shares in PJSC Joint Stock Oil Company Bashneft.

Advised Sakhalinugol on a sale of an interest and setup of a joint venture with the ICT Group to develop a coal deposit and port infrastructure in Russia’s Far East to take advantage of the Japanese market.

Assisting Kvaerner in the corporation's business development activities in Russia, including establishment of partnerships with Russian companies working in the Energy sector.

Provided legal support for negotiating, structuring and executing a joint venture for setting up a NALCO/ An Ecolab Company distribution network in Russia.

Advised RusHydro on a joint venture with JSC Electric power stations (Kyrgyzstan) that provides for the construction of four hydroelectric power stations in the Kyrgyz Republic.

Advised RusHydro on a joint venture with Voith, an Austrian industrial group, for the construction of manufacturing facilities for the production of turbines in Russia.

Advised RusHydro on a strategic alliance and joint venture with Alstom associated with the construction of production facilities in Bashkorstan to manufacture large hydro-turbines for power plants.

Advised Eaton Corporation on its acquisition of the Moeller Group from an investor group led by Doughty Hanson on all Russia-related aspects of the deal. The value of the global deal is EUR1.55bn.


Advised Pangeo Capital on all aspects of setting up and operating Pangeo Radar, a Russian-Austrian joint venture between Pangeo Capital and Radarservices Smart IT Security to develop, localise and deploy IT security software for major corporations and public companies. The scope of work also included advice on matters related to governance and finance, licensing, international cross-licensing and localisation of software. more deals

Advised Da Vinci Capital, a leading emerging markets private equity firm, on investing in DataArt, a leading global technology consultancy that designs and develops unique software solutions for supporting company growth momentum in key industries.

Advised Da Vinci Capital on $55m subscription for “Gram” tokens during second round of ICO of the Telegram Group - one of the world’s most popular messenger apps. TON (Telegram Open Network) is the largest ICO in the history of cryptocurrencies and the most hyped ICO of 2018. TON Whitepaper states that 84 percent of blockchain-based projects have an active Telegram community, more than all other chat applications combined.

Acting as the lead advisor to Da Vinci Capital on acquisition of a number of Israeli fintech startups (TipRanks, Way2VAT (, etc.).

Advising Open Mobile Platform-DC LLC and RUSINTECH LLC on sale of 75% in Open Mobile Platform-DC and 75% in Votron LLC to Rostelecom PJSC, which through this transaction gains control over the developer of Sailfish OS and Sailfish Mobile OS RUS.

Advising Finstar in its on acquisition of a multi-jurisdictional business operating an investment P2P marketplace platform allowing investors across the EU to invest in unsecured consumer loans to individuals via an online application process.

Advising Intel on an international deal – acquisition of Soft Machines Inc, involved in licensing and joint development of products for the Internet of Things (IoT), mobile telecommunications and cloud computing.

Advised PJSC MTS, the leading telecommunications provider in Russia, on its acquisition of a controlling stake (50.82%) in the Russian retail software developer Oblachny Retail LLC operating under the LiteBox brand.

Advised shareholders of SAPE on a transaction with Millhouse and Invest AG Fund consortium acquiring about 30% of shares in and in the Serpzilla project (scaling Sape business model on the markets of Europe, the USA and Asia).

Advised McAfee/ Intel in relation to the USD 389 m acquisition of StoneSoft, a Finland-based leading innovator in the next-generation network firewall products.

Advised Bessemer Venture Partners on its investment in  Enforta WiMAX network operator.

Advised Miratorg Agricultural Holding, one of the Russia’s largest agricultural producers, on its acquisition of 100% of shares in RAV Agro Orel and LB Orel, an agricultural arm of PPF Group allowing the client to materially boost its assets and production base. more deals

Advised AFG National on selling a 35% share in Yuzhnie Zemli LLC to Volga Group Agro, a company consolidating agricultural projects of Volga Group. Yuzhnie Zemli focuses on farming of high-quality apples by a super intensive technology and is one of the fastest growing projects in the industry.

Advising AFG National, one of the leaders of the Russian agriculture products market, on raising up to RUB 9bn from the Russian Direct Investments Fund and a number of Middle East funds.

Represented the Seller on the sale of the majority shareholding in FES Group, a crop protection product distributor, to Arysta LifeScience, a leading global provider of crop protection products.

Advised Tnuva Food Industries (the largest food manufacturer and distributor in Israel) on acquisition of the food production equipment from the Russian company being under the receivership insolvency procedure.

Advised Mars, Inc. on the USD 23bn acquisition of Wrigley and supported its post-acquisition integration/restructuring.

Advising Sun Pharma Global FZE, a group company of Sun Pharmaceutical Industries Limited, on prospective brand acquisition from a Russian competitor. Our mandate included comprehensive due diligence of the assets and related business (with particular focus on regulatory, contractual and IP), advice on structuring of the transaction, documenting and hands-on negotiating the deal. more deals

Advised Tommy Hilfiger on structuring its presence in Russia; supported launch of a representative office in Russia. Provided full-scope legal and tax support in acquisition of retail business from a major franchisee. As a result, the brand owner accessed landmark trade centres and key selling locations.

Advising Da Vinci Capital on acquisition of London-based brokerage and asset management firm Uralsib Securities and on acquisition of London-based broker Walbrook. more deals

Advised Da Vinci Capital on the structuring and set-up of a new fund, Global Fintech Solutions (GFS) in Luxembourg. The fund manages the portfolio of Da Vinci Capital’s fintech projects.

Advised MasterCard Members Association on launching an innovative service on the Russian market: simultaneous cash-out with POS payment by bank card at shop tills (tentatively named “Cash-Out” or “Purchase with Cash Back”).

Advised Alfa-Bank in relation to acquisition of shares in Pay-Me, a fin-tech company that provides mobile acquiring services allowing card wireless payments to be processed through mPOS terminals and mobile apps.

Represented Severgroup in sale of 100% of shares in Metcombank, JSC (one of the leaders on the automobile lending market) to Sovcombank, PJSC.

Advised a major Russian industrial group in mining industry on potential acquisition of assets in Russia.

Advised Pallada Asset Management on corporate and capital market transactions.

Advised Shearman & Sterling on all Russian law related aspects that was acting as lead counsel to the underwriters, led by Deutsche Bank, Raiffeisen Centrobank and UBS, in connection with a capital increase of Raiffeisen Bank International AG (RBI). With gross proceeds of approximately €2.78 billion, the transaction was one of the three largest capital increases in the history of the Vienna Stock Exchange

Closed two deals with Home Credit and with Global Payments. Equifax Decision Systems B.V. increased its stake and became the owner of 42,6% participation interest in the charter capital of Equifax сredit Services LLC.

Advised Sberbank of Russia on its acquisition of 25%+1 share in Detskiy Mir - Center, the largest children's goods retail store network in Russia (deal value is RUR3.4bn).

Advised Sberbank of Russia  in relation to Sportloto joint venture with Russkoye Loto Group. Sportloto LLC is an official operator of state loteries, organized by the Minstry for Finance of the Russian Federation.

Acted for Onexim Group in relation to acquisition of APR Bank (now MFK Bank).

Advised and represented Banque Fédérale des Banques Populaires and Caisse Nationale des Caisse d’Epargne et de Prévoyance in the Federal Antimonopoly Service of the Russian Federation in respect of Russian anti-trust control aspects of their assets consolidation and set up of the central managing body of the second largest French credit holding.


Advising Ferronordic Machines AB an authorised dealer of Volvo Construction Equipment, Terex Trucks, Dressta, Mecalac and Rottne in Russia, on the offering and listing of its ordinary shares on Nasdaq Stockholm. more deals

Advising and representing Rolf Group, the largest Russian car dealer, in relation to its merger with Pelican Auto.

Advised Magna International on planned joint (with Sberbank) acquisition of 55% in Adam Opel GmbH (in relation to the Russian and CIS based business units of Opel and General Motors Corporation). The EURO 500m deal was recognized as the most complex international deal of 2009.


Advised Oriflame in respect of its companies in Russia and Kazakhstan in connection with its subsequent successful IPO on the Stockholm Stock Exchange.


Advised Ecolab on acquisition of Promkhimservice (PHS), a chemical reagents plant in Sterlitamak, Republic of Bashkortostan, Russia. more deals

Advised TechnoNicol on acquisition of 100% of the shares in a production facility belonging to the IZOVOL Group, offering insulation solutions for industrial and civil construction. Our legal support included SPA negotiations and advice on antimonopoly issues.

Advised the shareholder of Tyumensky Fanerny Zavod (Tyumen Plywood Plant), the top plywood producer in Russia’s Western Siberia, on a sale of its 100% stake to SVEZA, a global leader on the birch plywood market.

Advised North Caucasus Development Corporation (VEB's subsidiary) on establishing, in conjunction with OAO Arnest Group, the National Aerosol Cluster on the territory of the national industrial park of Nevinnomyssk, Stavropol Territory, assisting in chemical industry clustering and comprehensive development.

Advised North Caucasus Development Corporation (VEB's subsidiary) on the Innovative Construction Technopark Kazbek development project (in partnership with OOO PKF Kazbek, the biggest construction company in the region), including construction of a modern construction materials production complex in the Chechen Republic.
